摘要
并购可从特性、途径和目标等方面区分为财务并购和战略并购 ,文章从战略并购的整合前提出发 ,阐明战略并购决策的系列原则和流程特征 ,提出并阐述了并购整合的三维体系和六种模式。
The M & A falls into financial and strategic M & A in the light of the characteristics,approaches and objects,etc,the integration is the characteristic of strategic M & A,The decision principles and decision process of strategic M & A were expounded,and the system and modes of integration in strategic M & A were put forward and discussed based on three-dimensionalities:task integrationmhuman integration,and the extent of integration.The logic of task integration involves from static organization integration to dynamic process integration and from informal institutions to formal institutions,and that of human integration includes retention and loss of personnel and visibility and continuity of leadership based on the attitudes towards the acquisition and the path dependency during integration:experience,learning and communication.
