摘要
企业并购是并购双方的博弈过程。并购双方的冲突是必然的 :企业产权关系不明晰和所有制阻隔 ,使并购双方的冲突具有刚性的特点 ;运行机制的差异和双方对并购活动认识上的差别 ,使并购双方的冲突不可避免。这些冲突集中表现在企业文化冲突上。并购后的企业必须选择适当的模式 ,从制度、机制、心理和文化等多个侧面 ,对企业进行整合 。
Merger and acquisition (M&A) is a game process by both sides. The conflict of both is inevitable.The unclear relationship of enterprise property and the seperated ownership make the conflict rigid.The differential operation,mechanism and recognition on M&A make the conflict unavoidable.The conflict concentratively expresses itself on organization cultures.In order to obtain the core competence,the enterprise of M&A must choose suitable model to reorganize its system,mechanism,mental,culture and other aspects.
