摘要
许多公司将购并战略作为公司快速发展的主要方式,但相当多公司购并案例以失败告终。现有研究认为,缺乏购并后整合措施是影响购并战略实施成功的主要原因。本文认为,根据购并与被购并公司内部具体情况选择相宜的购并后整合模式,是实现购并后协同效应与预期经营业绩水平的关键。本文还提出了四种购并后整合模式,并对其具体操作提供建议。
Even though mergers and acquisitions(M& A) has become an energetic strategy in corporations for their rapid development, many end up with failures. Some researchers think that integration is the key factor for the successful M& A. This paper points out that integration mode and countermeasures fitting to the inside conditions of acquiring and acquired corporations play a crucial role to realize the coordination achievement and expected operation goals. The paper constructs four integration modes and gives some suggestions.
