摘要
独立董事是近年来出现在我国的新生事物,它对建立健全的公司法人治理结构起着十分重要的作用。在分析独立董事兴起的原因,和我国上市公司董事会的人员构成现状及其带来的消极后果的基础上,提出了建立和完善上市公司独立董事制度的构想。
Independent director is a new phenomenon which has begun to appear in China recently.It can help construct sound company legal person administration structure.The paper reviews the course of independent director becoming popular and analyses the defects of company director structure.In accordance with these defects,the paper puts forward proposals for sound independent director institution.
