摘要
完善上市公司治理结构的重要举措是建立独立董事制度,通过独立董事对董事会进行监督和评估,提高董事会决策能力。但我国独立董事制度正处于初创阶段,还有许多问题,应从建立健全相关的法律法规,改变股权结构,以及机制的选择与运用等方面加以解决。
The important measure of improving administrative structure of listed company are establishing the independent director system and enhancing decision power of the directorate through supervising and appraising directorate by independent director . But the independent director system is being on primary stage , there are still many problems to be solved.
