摘要
数字经济时代,数据成为关键生产要素,有限责任公司运营模式与信息管理方式发生深刻变革。新公司法对股东知情权有所规定,但在数字经济背景下,传统知情权边界面临冲击,扩张成为必然。研究其边界与扩张路径,有助于平衡股东与公司利益,完善公司治理。本文结合新公司法,分析数字经济对股东知情权的影响,明确边界并探讨扩张路径,为实践提供参考。
In the era of digital economy,data has become a key production factor,and the operation mode and information management mode of limited liability companies have undergone profound changes.The new company law has provisions for shareholders'right to know,but in the context of the digital economy,the traditional boundaries of the right to know are facing challenges,and expansion has become inevitable.Studying its boundaries and expansion paths can help balance the interests of shareholders and the company,and improve corporate governance.This article combines the new company law to analyze the impact of the digital economy on shareholders'right to know,clarify boundaries,and explore expansion paths,providing reference for practice.
