知识产权转让不破许可的规制模式及中国选择

On Regulation Model of No-Break of License by IP Transfer and China's Option

摘要 知识产权转让不破许可规则是指知识产权的转让不影响被许可人在许可合同范围内继续使用知识产权。根据在后转让继受在先许可之负担的范围大小,可分为当然对抗模式、登记对抗模式、实际通知对抗模式和登记生效对抗模式。当然对抗模式过于保护被许可人,实际通知对抗模式过度有利于受让人,登记生效对抗模式严重抑制许可交易的发生。登记对抗模式是平衡被许可人和受让人利益的最优选,登记给许可以外观,保护转让交易安全又兼顾许可交易效率,是我国的最适当选择,应据此解释并适用现行法。我国商标法相关规范应解释为适用登记对抗模式,若许可合同未登记,则被许可人继续使用商标构成侵权,专利权和著作权可类推适用该规则,专利权和著作权领域亦可通过立法确立登记对抗模式的转让不破许可规则。 The rule of no-break of license adjusts the relationship between the existing license and the later transfer.Based on the realm in which the existing license can confront the later transfer,it can be classified as complete inheritance model,register confront model,actual notice model and register effective model.Complete inheritance model protects the licensee a lot,actual notice model has no actual meaning,register effective model is too rigorous,while the registration can offer the license appearance and protect the trust interests of the assignee.Therefore,register confront model is the optimal approach,which should be based on to interpret the existing regulations.The regulation of Trademark should be interpreted as register confront model,which means when the license contract is not registered,the continuous use of the trademark by the licensee will constitute infringement,and the patent law and copyright law can apply the rule by analogy.The regulations of IP in the future shall be clearly regulated that license contract without registration cannot confront bona fide third party.
