摘要
微商这一移动社交电商模式已呈汹涌之势,逐渐成为我国经济发展新引擎。然而微商在其发展大潮中可谓泥沙俱下,理论上和实践中对如何认定微商传销存在争议。微商合法多层经营与传销在形式特征上具有相似性,但两者在是否以经营为目的、是否以销售为利润来源、是否设置虚高商品价格、是否重视消费者保护四个方面存在实质性差异。《电子商务法(草案)》等法律草案对微商传销的认定仍停留在《禁止传销条例》规定的拉人头、入门费和团队计酬等纯形式性特征上,忽略了微商固有的封闭性以及比一般电商更需要多层级的重要特征。面对微商发展进程中遭遇的法律困境,结合微商传销具有社会危害性的本质特征,应以形式标准和实质标准作为认定微商传销的共同标准。
As a new pattern of mobile electronic business , WeChat business has a great impact on the economic development of our country. However, the rapid growth of WeChat business may be accompanied by uncontrolled matters, especially pyramid selling. This report illustrates arguments a-bout how to define pyramid selling in WeChat Business both in theory and practice. Legal multi- lev-el marketing is similar to illegal pyramid selling in term of its formal characteristics, but the two are different in substantive characteristics, such as operational purposes, profits sources, price formation mechanism and consumer protection. At present, Electronic Commerce law (Drafts) and other rele-vant regulations and drafts are still dependent on only those formal characteristics like the capitation fees, initial payments and team payments as well. This has overlooked the close nature of WeChat Business, which requires multi-level operations more imminently than classic e-commerce platforms. Consequently, confronted with the dilemma of WeChat business development, this report proposes that pyramid selling of WeChat business should be strictly defined with both formal and substantive approaches based on its great harmfulness to public society.
