摘要
与正常经营状态下的公司相比,破产重整中的公司治理更趋复杂,关乎重整的成败,进而影响重整制度目标的实现。以重整计划为中心,探寻各利害关系人广泛参与的多边协商机制,是破产重整中公司治理研究的有效进路。通过分析重整计划提出、表决、批准、执行中的权利(力)配置与运行机制,评析我国《企业破产法》的成功与不足,提出了完善建议。
Compared with the corporations in regular running, the bankrupt and reorganizing curporations' administration is more complex, which relates to the success of reorganization and further influences the realization of reorganization goal. The effective ways to the administration include centering on reorganization plan and exploring the multilateral negotiation mechanism which the interested paties generally take part in. By analyzing the rights allocation and operating mechanism of the presenting, voting, ratifying and implementing of reorganization plan, the pros and cons of The Enterprise Bankruptcy Law are discussed, some perfecting suggestions are proposed.
