国际经验证实良好的治理结构是AMC成功运作的关键。因此 ,公司法规定的治理结构基本框架应该遵守 ,具体策略是建立“二级委员会”管理全制 ,并在董事会中设置次级委员会、引入外部董事以监督董事会———执行总裁链条 ,实现权力的制衡 ,从根本上维护纳税人利益。
It has been comfirmed by the overseas experience that good managing structure is key to the successful running of assets management companies.Thus,the basic frame for managing structure,which is formulated by the Company Law,should be observed.The possible strategies are establishing a binary committee setting up a subcommittee under the board of Directors,and employing external directors to supervise the board,so as to ballance the power and to protect taxpayers' interests.
