摘要
国有企业外部治理面临着复杂的市场环境,资本和劳动力要素市场作为最主要的市场在国有企业外部治理中发挥着重要作用。文章基于中美两国资本市场和劳动力市场机制的对比,采取文献评述、逻辑演绎和比较分析等研究方法,首先形成理论基础,接着通过比较两国资本市场和劳动力市场的发展演变、监管特征、治理功能等差异,发现资本和劳动力两大要素市场在美国对企业产生的外部治理效果更为明显,是美国企业创新发展和优质发展的"推动剂",其经验具有很强的借鉴意义。最后,文章提出继续扩大我国资本市场开放力度、规模体量和完善监管体制,以及通过发展教育和引进竞争机制来推动劳动力市场优化升级等政策建议,为国有企业完善外部治理指明路径。
The external corporate governance of state-owned enterprises is facing with complex market environment.As the most important market,capital and labor market play an important role in the external corporate governance of state-owned enterprises.Based on the comparative study of capital and labor market mechanism between China and the United States,this paper adopted the methods of literature review,logical deduction and comparative analysis and then formed its theoretical base.Through comparing the evolution of the capital market and the labor market,the characteristics of supervision and the functions of governance between the two countries,the author found that the capital market and the labor market are the"the promoter"of the high-quality development and innovative development of the enterprises in USA.They have a more significant effect on the external governance of enterprises in the United States.We can learn more from these experiences.Finally,the paper put forward the following policy recommendations,for instance,to further expand the opening up of China’s capital market,to improve its scale and supervision system,to promote the optimization and upgrading of the labor market through the development of education and the introduction of competition mechanisms.At last the author pointed out the way for state-owned enterprises to perfect external governance.
