摘要
在我国民营经济快速发展的同时,民营企业面临着由自身产权缺陷造成的经营者缺乏产权激励的突出问题。民营企业应对产权制度进行创新,注重运用经营者持股、股票期权、管理层收购和仿真股票期权等模式,从产权角度对经营者进行激励,切实发挥激励机制在提高企业绩效中的作用。
While Chinese non-governmental economy is developing rapidly, a prominent problem of lacking motivation to managers caused by defects of property rights system lies ahead of Chinese non-governmental enterprises. In order to improve enterprise performance through motivation mechanism, Chinese non-governmental enterprises should innovate their own property rights system and utilize incentive methods of property rights to managers. The incentive methods include Manager Stock Ownership, Executive Share Option, Management Buy-out and Phantom Executive Share Option.
