摘要
目前我国为规范上市公司的法人治理机构,建立了独立董事制度。这个制度有其合理的地方,也有其不足的一面。因此,要培育和完善独立董事市场,有必要对独立董事的任职资格、薪酬制定作出明确的、具体的规定,同时建立起独立董事的权力保护机制和惩罚机制。
In order to standardize the action of corporations' on the market,the government has set up the system of independent directors.It has many advantages,but it still needs to be improved with regard to directors' independence,and the system of salary and obligation.
