摘要
2 0世纪 6 0年代后期在欧美国家产生的独立董事制度对于完善中国上市公司的法人治理结构提出了一个新的思路。增强公司内部决策的透明度 ,防止大股东在通过黑幕交易中损害中小股东的利益是大势所趋。论述了独立董事制度产生的原因以及在我国推行独立董事制度应注意的问题 ,并对该制度建设提出了政策性建议。
The present paper,giving an account of the cause for the independent director system to come into being and mentioning the points to be paid attention to as to promoting and establishing the system in China,advances some political suggestions concerning the constrution of the system.
