摘要
通过对公司控制权结构演变和现代公司制形成历史的分析 ,说明了由企业制度形态所决定的公司控制权结构要求建立相适应的公司治理结构 ,以使股东的权能在公司内部得到统一 ;并针对当前公司治理结构的职能弱化 ,提出应加强董事信托义务的相关配套法规的建设及其法律实践 。
The fact that the adaptive corporate governance structure is required by the structure of corporate control rights which is determined by the form of firm institution so as to unify the property rights of shareholders and their function within the corporation is the basic logic of establishment of corporate governance structure, and it is proved by the evolution of corporate control rights and the creation of modern corporation. Considering the weakening in function of present day corporate governance structure, the legislation and practice in law towards director′s fiduciary duty should be enhanced, the civil duty of directors be further improved, thus they will adapt to the growing power of the directors.
