摘要
当前,全国正启动国资国企改革,国资国企正成为并购重组市场主力军。调研发现广东省佛山国企跨行业并购存在战略定位不匹配、实操经验欠缺、并购前尽职调查不彻底、收购企业的评估报告不严谨等并购前风险,也存在并购后的管理风险、经营风险、融资风险、法律风险、廉政风险等。对此,只有明确佛山国企战略定位、加强评估过程监督、明确并购合作需求、防范过度和盲目融资、聘请专业的律师事务所、加强对国有资产的监管等措施,才能有效防范国企跨行业并购中存在的各种风险。
At present,the national reform of state-owned assets and state-owned enterprises(SOEs)is advancing in depth,and SOEs have become the main force in the merger and acquisition(M&A)market.The research shows that cross-industry M&As of SOEs in Foshan,Guangdong Province are confronted with pre-M&A risks such as mismatched strategic positioning,lack of practical experience,incomplete due diligence,and unrigorous evaluation reports of the target enterprises.In addition,there are also post-M&A risks including management risks,operational risks,financing risks,legal risks,and integrity risks.To address these risks,only by clarifying the strategic positioning of Foshan’s SOEs,strengthening oversight of the valuation process,defining M&A cooperation needs,preventing excessive and blind financing,engaging professional law firms,and intensifying the supervision of state-owned assets management can various risks in cross-industry M&As of SOEs be effectively prevented.
