摘要
但书作为立法技术手段,广泛用于法律条款中对原则性规定的例外情形进行限定,其在法律文本中的精确表达对法律适用具有关键意义。然而,但书英译问题未得到充分关注。基于此,研究以新《公司法》英译本中的但书条款为研究对象,参照《香港公司条例》,发现但书英译中存在以下问题:引导词的使用混乱、逻辑转折关系的缺失以及句法结构失衡导致的语义焦点偏移。问题成因包括学界对“但书”概念界定模糊、句子逻辑与语义理解偏差以及译者主动性的缺失。针对上述问题提出有效改进路径:首先,对但书进行类型化处理,提供但书译法匹配;其次,建议译者培养批判性思维;最后,加强法律翻译外部保障机制,以切实提高但书英译的准确性和专业性。
Proviso,as a legislative technique,is extensively employed in legal provisions to delineate exceptions to general principles and their precise expression in legal texts is crucial for the application of law.However,the issue of translating provisos into English has garnered limited scholarly attention.Against this backdrop,this study examines the translation of proviso clauses in the Chinese-English version of the China's Company Law(2023 Revision),referencing the Hong Kong Companies Ordinance.The research identifies several problems:the confusion in the use of guiding words,the lack of logical transitions,and the imbalance in syntactic structure lead to problems with semantic focus shifts.These problems stem from multiple factors,including the ambiguous definition of the concept of“proviso”in academia,deviations in logical and semantic comprehension,and insufficient translator initiative.In response to the aforementioned issues,this study proposes effective improvement strategies:First,find an appropriate frame of reference and provide matching translations for provisos.Second,translators should cultivate critical thinking skills.And finally,external safeguards for legal translation should be strengthened to effectively improve the accuracy and professionalism of English translations of provisos.
