摘要
分析承揽合同当事方的激励问题,以当事方收益和社会收益两个角度阐述项目承揽的动力基础。工程项目承揽合同规模较大,执行时间长,多步交易模式合同在实际工程应用中最为广泛。多步交易强调当事方以分步的形式实现收益,进而实现各自权利义务。以履约关键节点视角审视合同当事方交易的过程,将当事方互动过程视为一系列关键节点实现的过程。在履约过程中,要进一步开放合同体系,通过合同履约关键节点的变更和接续的形式完善合同内容,使合同的治理机制更加适应实际项目治理的需要。
The incentives of the contracting parties were analyzed.The incentive of a construction project contract was discussed based on the interests of the contracting parties and the society.The contract of a construction project is normally complicated with long duration,so the multi-step trading model(MSTM)is most widely used in civil engineering.The MSTM emphasizes that different parties achieve their interests step by step,and then perform their rights and duties.The whole trading process among the contracting parties can be examined from the perspective of key nodes,and the process of their interaction can be regarded as a series of key nodes’realization.Besides,in the performance of a contract,it is necessary to further open up the contract system and perfect the contract through modification and continuation of key nodes,so that the management mechanism of the contract can better meet the needs of the actual project governance.
