摘要
家族式企业自诞生以来始终在世界经济活动中扮演着重要的角色,家族式企业不仅在中小企业,而且在一些大型跨国公司中也居主导地位。然而在我国,家族式企业往往被视为一种低级的企业组织形态。本文通过对家族式企业的公司治理特征的分析后认为,一方面,与一般的企业相比,家族式企业在公司治理方面具有一些特殊的效率,家族式企业因而并非是低效率的企业模式;另一方面,家族式企业的公司治理也存在着不同于一般公司的不规范之处,我们为此提出了相应制度规范的途径。
The family business has played an imp ortant part in the world eco nomic act ivities since its birth.It has a leading role in some in ternational enterprises as well as i n small and medium ones.However,in out country,the f amily business i s usually regarded as a low formation of enterprise.Analyses s how that the family business has some special efficiency in the administration o f companies,and on the other hand it has some non -standard administrati on.T his paper proposes appropriate measures for standardization of family business.
