摘要
在公司治理结构中引入独立董事制度,一方面可以制约控股股东利用其控股地位做出不利于公司和其他股东的行为,另一方面还可以独立监督公司管理阶层,减轻内部人控制带来的问题。因此,董事会建设存在明显不足的我国上市公司引入独立董事制度有着特别重要的意义。建立符合我国国情的独立董事制度,不仅要建立相应的市场规则,还应加强独立董事群体的自律教育。
The method of incorporating independent director system into corporation governance,on the one hand,helps to restrain large shareholders from behaving unfavorably to the company and other shareholders;on the other hand,it helps to make the management level of supervising company independent,thus lessens the problem caused by internal control.Therefore,independent director system is significant to the public corporations in China,which are in sufficient in establishing the board of directors.In order to establish independent director system,we need to set up corresponding market regulations,and strengthen self-education of the director community.
