摘要
经济全球化已成为目前世界上不可逆转的发展趋势，企业跨国并购也在世界范围内掀起一股浪潮。由于中国国内的产业结构不合理和产业竞争力不强，所以在加入ＷＴＯ后，国内企业不可避免地面临更为激烈的竞争。为此，中国政府和国内企业应有下列认识和措施：必须认识到跨国并购进入中国是不可避免的，一定要接受这种形式；跨国并购对中国的经济发展既有正面也有负面影响；中国政府应尽快制定有关法律和并购规范，使并购能有序地进行；首先要进行国内的并购，以培育、发展和壮大国内的企业集团，提升它们的竞争力，然后走出去，实行跨国并购。
Economic globalization has turned out o be an irreversible trend of debelopment in the present world and a new worldwide wave of transnational incorporation of enterprises has also been stirred up.Owing to the irrational structure of China's domestic production and its lack of competitiveness, Chinese enterprises are inevitably faced with intensified competition after WTO entry.Therefore,the Chinese government and her domestic enterprises must have such understandings and measures as:realize that it is inevitable for China to get involved in the movement of transnational incorporation and accept it as a matter of fact;Chinese government should make laws and standards about it as soon as possibe to ensure it to proceed in good order;incorporation of Chinese enterprises must come first so as to cultivate,develop and enhance domestic groups of enterprises,improve their competitiveness,and then go abroad to carry out transnational incorporation.
