摘要
随着市场经济的发展和中国的入世 ,为了吸引和留住高级人才 ,确保企业的长期发展 ,企业必须构建有效的长期激励机制。股权激励因其特殊的激励机理 ,能促使高级人才与企业形成利益共同体。股权激励机制构建必须具备一定的内外条件 ,国有股减持在完善内部治理和证券市场的同时 ,为股权激励机制构建创造了必要条件。同时 ,股权激励机制构建有利于构造一种共同治理模式 ,而基于股权激励的国有股减持方式具有显著的特点和现实的可行性。因此 ,国有股减持与企业股权激励机制构建具有共同目标和互动性 。
With the development of market economy and China′s acceding WTO, the enterprise must found an effective long term stimulating mechanism for the purpose of attracting the advanced persons of ability and insuring its long development. The stock stimulation can help to form a benefit community of the advanced persons of ability and the enterprise because of its special mechanism. While improving enterprise′s inner governance and the securities business, reduction of state owned stocks can create a series of essential inner and external conditions of foundation of stock stimulation mechanism. Foundation of stock stimulation mechanism benefits foundation of the co governance mode, and the method of reduction of state owned stocks, which is based on stock stimulation, possesses distinct characteristics and actual feasibility. Therefore, this article holds that reduction of state owned stocks and foundation of stock stimulation mechanism have the common aims and interact with each other, and they must be carried through for the reformation of the state owned enterprises.
