摘要
基于委托代理问题的一般性 ,分析了完备市场条件下的委托代理和公司治理结构及实现条件。给出了外部治理结构与内部治理结构的依从关系 ,对完善市场条件下与非完善市场条件下法人治理结构进行了比较。并强调了过渡阶段即经济转型期国有企业治理结构的特殊性。认为现阶段对于国有企业而言 ,重要的是制度的创新及解决经营者的道德风险问题。
Based on the generality of the entrustment agent, this paper analyses the entrustment agent and corporation administration structure and their realization conditions in the perfect market environment. At the same time, this paper gives mutually dependent relation between the external and the internal administration structures, and further compares the corporate administration structures in both perfect and non\|perfect environment. The author holds that the most important issues for the state\|owned enterprises to handle are the system innovation and the solution to the morality risk of administrators. It also stresses the special characteristics of the structures in the state\|owned enterprises in the transitional period for economy.
