摘要
中国的国有企业改革，已进入到目前的制度创新，即建立现代企业制度阶段。公司制是现代企业制度的一种有效组织形式，而法人治理结构则是公司制的核心。国有企业治理创新的难点就是如何在产权明晰的基础上构筑有效的法人治理机制，以解决国有资产委托经营中的一系列问题。
The reformation of China's state－owned enterprise (SOE) has stepped into the stage of having ModernEnterprise Iustitution estabslied. The firm is an effective organizational form of this institution, and Corporate Governanceis the core of the firm system. The difficult points for governing innovation of the SOEs are how to establish activeCorporate Covernance based on the classffied property rights, so as to resolve the agency－problem of the state－ownedassets.
