摘要
现代各国反垄断立法与实践已经表明 ,控制企业合并实质上就是控制市场势力。基于这种认识 ,首先论述了市场势力的概念、特点及分析方法 ,在此基础上 ,认为我国企业合并反垄断立法应遵循一般规定———具体准则———一般规则例外相结合的方针。一般规定主要突出企业合并控制的实质标准———市场势力 ;具体准则着重于市场势力的认定 ;
In the contemporary period, the antitrust legislation and practice in all the countries have indicated that the control over the merger of enterprises is in actuality to control the power in the market. From this perception, the concept, specific features and analysis method of the market power are first discussed. Then a conclusion is arrived at that the antitrust legislation concerning the merger of enterprises should follow a guiding principle of combining the general regulation, concrete norms and exceptions of general rules. In the general regulation, the main stress should be attached to the substantive standard of the control over the merger of enterprises, that is, the market power; in the concrete norms, to the recognition of the market power; the exceptions of general rules enable the merger which should have been prohibited can be exempted from the prohibition action for special reasons.
