摘要
江苏民办高校从萌芽探索到依法规范,经历了三个阶段,其法人治理结构也逐渐完善,但仍然存在外部行政权力干涉内部治理的行为不规范、法人财产权未完全落实、董事会成员构成和权力分配不合理等六大问题。为了进一步完善江苏民办高校法人治理结构,建议建立法人财产制度,完善政策、管理等外部治理环境,健全董事会、院(校)长、监事会等法人内部治理结构。
From their buddings, exploration to governance by law, private colleges in Jiangsu have experienced three periods, and the corporate governance has become perfected gradually. However, there are still some problems, such as the interference from outer administrative departments, the suspension of finance of corporate and unreasonable constitution and unfair distribution of power among board members. Therefore, it is necessary to establish the legal property system, refine outer governing elements and perfect the Boards of directors and supervisors.
