A Literature Review of Boards of Directors Involvement in Corporate Strategy from Multiple Perspectives

摘要 以董事会介入公司战略的研究为主题,对该领域40年来的相关研究进行了评述。整理和归纳了本领域研究中所使用的六大主流理论视角及其之间的异同点;以六大理论视角为基础,首次探索本领域研究中视角转换的根本原因,并归结出董事会介入公司战略的发展脉络和演进线索——股东积极主义。基于以上综述,提出本领域未来研究的四大发展趋势,以期帮助后来的学者完整清晰地了解此领域的研究历史和现状,更好地在此基础上做出理论和实证的贡献。 Focusing on the theme of boards of directors' involvement in corporate strategy, we re view related research findings in this field of the past forty years. Firstly, authors summarize six mainstream theoretical perspectives in this area, and sum up these perspectives' similarities and differences. Secondly, based on six theoretical perspectives, this paper explores the fundamental cause of perspectives' change, and concludes that shareholder activism is the development and evolution clue of boards of directors' involvement in corporate strategy. Finally, the authors propose four trends in development of this promising frontier. The ideas proposed may be helpful for future studies.
