摘要
股利分配请求权保护的关键议题在于抽象股利分配请求权的转化和救济。在民事权利谱系中,抽象股利分配请求权为期待权。设定此种期待权转化为既得权的条件,应尊重公司自治,并顾及公司运作的实际,围绕董事会的权力和责任展开。在该权利的保护机制设计上,应认可股东的强制分配股利请求权,并通过强制分配股利之诉为权利实现提供保障。
The abstract right of claim for distribution of dividend is a kind of expectant rights. The core of the protection of this right is its transformation and relief. To set the conditions of the transformation of the right from expectant right to vested right should based on the Board＇ s power and duty with the respect for the company autonomy. The way to realize the right of claim for distribution of dividend is the action for compulsory distribution of dividend.
