摘要
作为一种重要的内部治理机制,董事会在公司治理中具有极其重要的地位。笔者利用我国14家上市银行2006年～2009年的面板数据,对银行企业董事会特征与银行绩效间的关系进行了实证检验。结果显示,独立董事、女性董事对银行绩效具有显著的正向影响;董事会规模、董事长与总经理的兼任对银行绩效具有反向影响;董事会会议与银行绩效呈现正相关关系,但并不显著。
As an important internal mechanism of corporate governance, board of directors plays an important role in corporate governante. Using panel data of China＇ s 14 listed hanks from 2006 to 2009, the authors make an empirical analysis of the relationship between board＇ s characteristics and bank performance. It indicates that independent directors and women directors have significant positive effect on banks＇ performance, while board size and the president serving as the general manager concurrently have negative effect on bank performance. The meeting of directorate has positive effect on bank performance, but the effect is not obvious.
