The Revelations of Global Cross-border Merger and Acquisitions' Development for Utilizing FDI in China

摘要全球引进FDI以跨国并购为主,而中国以新建投资为主。本文根据资本输出理论,认为跨国并购是新建投资发展的高级形式,跨国并购将成为我国引进FDI的重要方式,并针对跨国并购在我国的发展提出政策建议,包括提高我国大中型企业的竞争力,鼓励跨国公司并购我国中小企业;培育成熟的资本市场;完善我国关于跨国并购的法律法规。 Cross-border Merger and Acquisitions （CBM＆As） is the main mode for bringing Foreign Direct Investment （FDI） in the world. However, the mode of utilizing FDI in China is new investment. This paper analyzes that CBM＆As is the quality form of new investment on the basis of capital export theory. The author believes that CBM＆As will become the important mode of bringing FDI in China and puts forward several policy advices, including developing large and medium sized enterprisesO and encouraging Multinational Corporations to merge or acquire the small and medium enterprises, fostering mature capital market and improving rules and regulations about CBM＆As.
