摘要
农民专业合作社是不同要素所有者为了共同的利益而结成的契约组织。不同参与主体的资源禀赋、参与目的以及角色的差异导致了社员结构的异质性。在异质性社员结构下,少数核心社员拥有农民专业合作社的主要剩余控制权和剩余索取权,其外在体现就是核心成员拥有合作社的多数财产所有权。由于在集聚生产要素和避免代理问题上有优势,当前的所有权安排存在合理性。
This paper aims at understanding the ownership? of? the? asset, residual claims, and residual rights of control of farmers' cooperatives, starting with the analysis of members' endowment resource. By doing so, we hope to deepen our understanding to farmers' cooperatives. Our main findings are: (1) In the formation of farmers' cooperatives, as actors engaged in the process have different endowment resource and play diversified roles, the membership is of great heterogeneity: a minority of core members and a majority of common members; (2) Under the heterogeneous membership, the core members hold the main residual rights of control and residual claims by shareholding; (3) From the incentive compatibility perspective, the current ownership is an efficient system, because they are benefit for centralizing production factors and reducing some agent problems. However, with the development of farmers' cooperatives, the current ownership may face challenges and the sustainability of the current ownership will be problematic
