摘要
近年来,国内上市公司并购海外公司案例数量逐年增多。本文首先介绍目前中国企业海外并购的一系列特征,并在此基础上,从家电产业、装备工业、能源产业这三个具有代表性的产业出发,以产业视角分析我国企业海外并购的动机。最后通过思考得出自己的观点:中国产业结构的升级使中国企业海外并购具有一定的必然性;国际产业转移的新趋势提供中国企业海外并购的时机及产业发展程度不同,海外收购模式也各不相同。
In recent years, the number of cases about mergers and acquisitions of overseas companies are increasing year by year. First, this paper shows a series of currently characteristics of Chinese enterprises overseas M&A. And on this basis, this paper analyses the motives of mergers and acquisitions of three main industries, for example the household appliance industries, the equipment industry and the energy industry. And from this, it concludes the motives of Chinese enterprises overseas M&A in industrial visual angle. Finally, it introduces its own opinions: China's industrial improvement made Chinese enterprises overseas merges and acquisitions be a certain inevitability, the new trends of international industrial transfer provides a good opportunity for Chinese enterprises overseas acquisitions and merges and overseas acquisition pattern is not uniform due to different developing levels of different industries.
