跨国公司在华并购战略解析及其风险防范 被引量:4

Analyzing Transnational Company's Merging Strategy and Its Risk

摘要 20世纪90年代末以来,跨国公司的在华并购呈现出战略化的态势,在并购行业、并购方式、被并购企业和并购路线四方面表现出鲜明的特征。国企改革对国外资金产生的大量需求以及跨国公司在华合资合作模式和独资模式风险收益的逆转是跨国公司在华并购战略得以成功的必然,而我国地方政府的职能错位,合资合作战略以及并购战略的失败为跨国公司在华并购战略的成功实施提供了可乘之机。为防范跨国公司在华并购的风险,我国企业应提高对跨国公司并购的认识,慎重选择合资合作伙伴,在合资合作时构建完善的学习机制,增强学习能力,并加强国内企业之间的战略联盟,增强并购战略的管理能力。 Since the end of 1990s, transnational company's trend in merging Chinese enterprise has showed more strategic in merging industry, mode, enterprise and path. The cause of these successful merging lies in state - owned enterprise' s demand on foreign funds and transnational company' s joint venture and cooperation mode and reversion of risk income from solo - investment model. In addition, our local government' s malfunction and failure of merging strategy also provide such chances for their success. To prevent these risks, our enterprises should improve the understanding of merging company, take careful attitude toward their partner, strengthen their learning ability and mechanism, and form strategic union among industries, so as to perfect their ability of merging strategy.
