摘要
“一股独大”与“内部人控制”在上市公司中的存在,严重损害着投资人、债权人利益,因此对经营者的监督在我国变得尤为突出。虽然开始尝试独立董事制度,但我国实际上尚不具备其应用环境;我国公司更多地依赖银行贷款,不论法律环境、人文环境还是资本市场环境,我国都与大陆法系德国、日本更为接近,因此借鉴德国与日本做法——通过选派银行监事等外部监事来完善监事会制度,是我国公司治理完善的理性选择。
What the monopely shareholder and the insider control in the listed corporation is most harmful for the profit of the investor and creditor, so the supervise to the directorate and super management is very urgent in our country. Though the independence director system has begun to use, its condition isn＇t existed, and they usually dependent on the loan of the bank. Not only the law and the culture environment hut also the capital market environment, it is approach to the corporation in Japan and the Germany. It is the Iogos choice that to selecting the supervisor from the bank to enhance the supervisory board system, which is used the corporation in the Japan and the Germany.
