摘要
董事会作为公司治理的核心,其效能与效率倍受各方人士的关注。本文以深圳市场2001～2003年数据为例,实证研究了董事会规模、董事会会议次数和董事会中建立委员会与公司业绩的关系。结果表明,董事会规模和建立委员会与公司绩效都有正相关关系,但不具有显著性,而会议次数与公司绩效有负相关关系,且具有显著性。
Board of director is a key of corporate governance.The paper uses the data of 2001-2003 from Shenzhen stock market to research the efficiency of board directors.The empirical results show that the scale of the board directors and board committees are both positively correlated with the corporate performance statistically,but not significantly:the board meeting is negative correlated with the corporate performance statistically and significantly.
