摘要
我国《公司法》增加了“公司社会责任条款”。论题在公司社会责任内容分层理论的基础上对该条款提出几点反思与修正的意见,建议《公司法》应当将“股东利益最大化”作为现在公司社会责任的最低标准。
The corresponding ＂corporate social responsibility clause＂ has also been added into the ＂Company Law＂ of our country, but there remains much to improve. This paper puts forward the stratification theory of the corporate social responsibility, and continues to offer recommendations in this line. In particular, the paper suggests that ＂maximizing shareholders＇ interests＂ should be taken as the minimum standard for corporate social responsibility in the ＂Company Law＂.
