摘要
公司设立是一系列公司行为的起点,设立行为的性质影响设立中公司的法律地位、公司设立责任的承担,并与设立后公司的质量息息相关。事实上,公司设立行为的不同阶段具有不同的法律属性,而设立中公司的非法人团体地位决定其独立承担设立行为效果的能力,并在一定程度上缓解了发起人的过重负担。但应完善设立阶段的公示机制,以巩固设立中公司的非法人地位,并实现其与成立后公司权利义务的顺利交接。
The foundation of company is the standpoint of a series of companies＇ action, its characteristic has much influence on the legal status and founding responsibility, and is closely connected with founded companies＇quality. In fact, the different stages of companies＇foundation have different legal features, but the status of non - legal person institution of the founding companies determines their capability of shouldering the effects of foundation independently, and to some extent lessens the liabilities of incorporators. So we should better the disclosure system in the foundation stage, in order to solidify the legal status of the founding companies, and realize the smooth transfer of rights and duties between the founding companies and the founded ones.
