摘要
公司设立中行为效力的制度安排涉及发起人与成立后公司的利益衡量。本文在研究国外法理及立法的基础上,建议我国《公司法》简化公司设立的条件,承认设立中公司具有有限的人格,将公司设立行为的效力归属于成立后的公司。
The institution of legal attribution of action during the incorporation of company relates to the interests balance between the organizer of company and the established company .On the basis of foreign jurisprudence and related legislations of company, the author gives some advices on China's company law.
