摘要
独立董事制度的引进,褒贬不一。尽管独立董事制度存在许多问题,但对公司治理机制的完善,特别对董事会自身的建设将起到重要的作用,为此我们必须在法律、激励约束机制、独立性和进出管理等方面更好地完善中国上市公司的独立董事制度。
The introduction of independent director systems has both negative and positive comments. Although existing a lot of problems,it can improve China＇s listed companies corporation governance mechanisms,especially it will play an important role in the self-construction of the board. Therefore,we should perfect the independent director system in China＇s pubilc of companies in the aspect the law systems, incentive and constraint mechanism, independency and in-out management.
