odern corporation is an enterprise systenl that has taken shape in a longdevelopment of about four hundred years,The features of corporate system are: First, it is a corporation; it is operating over its assets and has thestatus of logal-person;the shareholders only shoulder limited liability accord-ing to the amount of their capital investment .Second ,the corporation is not managed by proprietor but by corporate goveronace,Therefore the corporationwould rightly adapt to the needs of modern economy with mass producrionand commodity circulation, and become a basic form for large and mediumsize enterprise, In order to establish socialist market economy, we should choose the common way adopted by many counteies to develop enterprise, abideby international practice, study the characteristic of corporate system of other nations, and carry out the corporation reform corforming to China' s realities.
