摘要
在技术可以成为独立商品的时代,《民法典》的技术合同规范有明显进步,它们吸纳并补充、完善了《合同法》“技术合同”章的规定,特别是增加了技术许可合同类型并对其与技术转让合同分别进行了界定,调整了相关条款的表达及法律用语,使它们更符合技术市场发展的规律。但也存在明显不足,如重要概念的定义及相关条款有待完善。首先,应在指导理念上,充分注意技术作为一种特殊商品的特征对技术合同带来的影响。其次,应对“技术转让合同”和“技术许可合同”相关条款表述不够准确之处通过立法或司法解释来完善,以体现出二者本质区别;补充完善技术合同长期合作之特性带来的相关附随义务的规定,完善扩大技术合同适用范围及突出技术许可合同的地位并丰富其规范的内容等。
In the era of knowledge-based economy in which technology has become an independent commodity,the terms and articles in the chapter of"technology contract"under the Chinese Contract Law have been improved when incorporated into the Chinese Civil Code,among which the most prominent improvements are to add the type and content of the contract on technology license and the definitions respectively,and adjust the legal terms of the relevant provisions,which are more in line with the development of the technology market.However,due to the flexible space left in the important definitions and terms,much attention shall be paid to their specific enforcement in the reality:in the implementation of the guiding concept,full attention shall be paid to the impact of the characteristics of technology as a special commodity on the enforcement of the related contract;in order to meet the requirements of the development rules of technology market on the enforcement of technology contract provisions,the essential differences between contract of technology assignment and contract of technology license,and the implementation of the relevant provisions concerning these two types of the contract shall be distinguished by reasonable interpretation.The importance should also be attached to the relevant collateral obligations brought about by the characteristics of long-term cooperation in the enforcement of the technology contract provisions,and the extension of the scope of application of the technology contract provisions in the practical enforcement.
