摘要
独立董事的引入并未带来中国公司绩效的明显改善,激励不足是根本原因。声誉机制是独立董事激励的关键要素。为改善和增强对独立董事的激励和约束,宜从独立董事的提名、行权履责环境和声誉、报酬激励等方面进行设计和改进。
The introduction of independent directors doesn't improve corporate performance in China and the insufficiency of motivation is a fundamental cause for it. Reputation mechanism is the critical incentive factor for them and the improvement of the incentives and restraints on independent directors should be focused on such aspects as their nomination, the condition for them to function, and the incentives by reputation and compensation.
