摘要
作 为 一种 混 合型 金融 工 具，可 转债 以 其独 特的 性 质越 来越 为 我国 上市 公 司和 投资者 们 所接 受，而如 何设 计 合理 的条 款 是可 转债 发 行成 功的 基 础。文 章在 分析 可 转债 条款设 计 目的 和思 路 的基 础上 ，分 别对 可转 债 各主 要条 款 的设 计进 行 研究 ，并结 合 我国 的实际 情 况提 出了 发 行人 在条 款 设计 过程 中 应注 意的 几 个问 题。
A s a kind of m ixed financing tool,the convertible bond is received by m ore and m ore Chinese listed com - panies and investors with its specialnature,and the design the rationalclauses is the foundation for the successfulissuing of the convertible bond.Based on the analysis on the design target and concept of the convertible bond,this paper re- searches on the design of all im portant clauses of the convertible bond,and connecting with the actual situation of our country,puts forward som e problem s needing attention in the course of the design of the clauses for the issuers.
