摘要
企业并购是现代经济生活中企业自我发展的一个重要内容。企业并购的动因就是企业追求利润最大化或成本最小化。外资进入我国控股并购国有企业 ,是出于其全球化战略实施的需要。我们当前的对策应是 :其一 ,多方引进 ,实现引进外资资金来源上的多元化。其二 ,在有资源和市场优势的领域 ,应当有条件地合作。其三 ,学习和掌握一些基本的反并购策略。
Enterprise merger is an important content of the enterprises' self-development in modern economic life.The motivations of enterprise merger are that the enterprises pursue maximum profits or minimum cost.The foreign capitals enter our country to control interest and merge state-owned enterprises,which is the need of implementing their globalization strategy.Our present countermeasures are as follow:First,introduce in many ways and realize the pluralism of capital source when importing foreign capitals.Second,cooperate conditionally in the fields with resources and market advantages.Third,study and grasp some basic anti-merging tactics.
