摘要
大量成功和失败的案例表明,并购后的整合是决定并购成败的关键因素,其中财务整合是并购整合的重要环节。企业并购后的财务整合应遵循及时性、统一性、协调性、创新性、成本效益等原则,采用移植模式或融合模式,对财务管理目标、财务组织机构和职能、财务管理制度、存量资产和负债等进行整合。
A large number of successful or failed cases demonstrate that integration is the key factor which decides the success or failure of merger and acquisition (M & A). Financial integration is an important part in the postmerger integration system. Financial integration after M & A should follow such principles as swiftness, unification, harmonization, innovation, and costbenefit. The enterprises may use transplanting or amalgamation model to realize financial integration, which includes integration of financial management goal, financial organization, financial management system, existing assets and debts.
