摘要
随着经济的不断发展 ,我国证券市场的不断完善 ,独立董事的作用也越来越为人们所重视。但我国独立董事制度存在诸多缺陷 ,如独立董事制度与我国现行法律架构的冲突 ,独立董事的法律地位问题等 ,所以要完善独立董事与监事会的关系构架 ,尽快完善独立董事的相关法律法规 ,从而为独立董事作用的发挥打下坚实的基础。
With the development of economy, China Stock Market has been perfected constantly. More attention was paid to the function of independent board. But there are many limitations in the System of Independent Board (SIB) of China, such as the conflict between SIB and our current laws, the status of SIB in law, etc. In order to establish the strong basis for SIB, we should further perfect the relation structure between SIB and Board of Supervisor, and the related laws and statutes.
