摘要
国有企业在近年来市场对内对外开放的竞争条件下,经营效益不断下滑,生存日渐困难,以至于不得不进行战略改组,从竞争性领域中退出。国有企业的重组和市场化是这种转变和改组的重要产物。国有企业的重组涉及到资本转移、资产调整和企业存续等核心问题,重组所产生的影响十分广泛;而国有企业的市场化生存面临着市场竞争和企业有效治理的两重压力。就生存与发展趋势而言,进入市场的国有企业势必要经历重组,并在资本结构和治理结构等方面作出根本性的调整,才可能完成改造,获得新生。
With the establishment of the modern enterprises institution, corporate governance is becoming a common concern in the theories and in the enterprises. M &A has become an energetic strategy in TNC's for their rapid development in China. This paper deals with the corporate governance of TNC's entrance into China by M&A at present, and then offers some predictions which would be likely to occur in future.
