摘要
企业的结构和形式永远是应企业生存环境的要求而变革的。由于关联关系的存在 ,关联企业之间、关联企业的股东之间、关联企业的债权人之间的关系越来越复杂。必须正确界定关联企业概念和法律特征 ,以完成对关联企业的识别。目前存在关联关系的滥用与关联公司债权人之间的冲突 ,债权人的利益易于受损 ,应该借鉴国外做法 。
The structure of enterprises has changed to adapt to the business envionments.Owing to affiliated relationship,the relationship has become more and more complicated between the affiliated companies,between the shareholders of the affiliated companies,between the creditors to the affiliated companies,and between the shareholders and the creditors.It should be identifed the definition and legal feature to complete the identification of the affiliated companies.A buse of the affiliated relationship and conflict between the creditors to the affiliated companies result in damages to the creditors,therefore,the legal rescue methods in other countries may be worth transplanting to our corporate law.
