摘要
公司治理结构是我国公司制改革的核心问题。从公司治理结构内部组织机构设置以及内部利益制衡两个角度分析,内地和香港地区的公司治理结构规则存在着诸多的不同。香港的公司治理结构有其优点和不足之处,内地应该借鉴香港地区公司治理结构规则的先进经验,以完善内地的公司治理结构。
On view to the setting of every organs i n the company and the internal interest balance system, there are many differenc es on corporate governance between Mainland and Hong Kong, This paper points out that the corporate governance of Hong Kong has its advantages and disadvantages We should learn from the excellent experiences on the corporate governance fr om Hong Kong, which aims at perfecting Mainlands corporate governance
