摘要
要约收购是我国上市公司收购的重要方式。我国的法律对要约收购作了一些规定 ,但存在许多缺陷 ,需要进一步完善。重建强制要约收购 ,设立自愿要约收购 ,规制收购后续行为 ,是健全要约收购的重要步骤。
The offer purchasing is one of the important means in the purchasing companies in the stock market. There are many defects needing development along with some provisions in laws.It is an important step to set up freewill offer purchasing and standardize the further acts after it.
